Job description

In this varied company secretarial role you play a vital part in facilitating the efficient operation of the Board and Committees of the organization. This newly created position supports the Company Secretary in upholding the Bank's adherence to legal and regulatory requirements and the highest standards of corporate governance. The role entails offering essential support to the Board of Directors, Executive Management, and various stakeholders, while also serving as the custodian of the Bank's corporate records and policy documentation. Please note that this role is primarily office-based in London, requiring at least three days of in-office presence per week.

Duties and Responsibilities:

  • Maintain and organize the annual calendar of Board and Committee meetings.
  • Prepare and distribute meeting agendas, materials, minutes, and resolutions.
  • Assist the Company Secretary in ensuring compliance with corporate governance principles, as well as legal and regulatory requirements.
  • Manage the Bank's statutory registers and company books.
  • Prepare and file statutory documents.
  • Oversee the Bank's policy repository and ensure policy documents remain current.
  • Organize Board training initiatives.
  • Foster a culture of strong corporate governance within the organization.

Skills and Experience:

  • Profound knowledge of corporate governance principles, company law, and banking-specific regulatory requirements.
  • Strong communication and interpersonal skills.
  • Exceptional organizational and administrative abilities.
  • Keen attention to detail and a commitment to maintaining precise records.
  • Ability to handle confidential and sensitive information with discretion.
  • Proficiency in corporate governance software and tools.
  • Prior experience in a similar role within regulated financial services is highly desirable.
